End User License Agreement (EULA) for Donut Consulting Last Updated: September 10, 2024

BY USING OUR SERVICES, YOU IRREVOCABLY AGREE TO THIS END USER LICENSE AGREEMENT (EULA). IF YOU DISAGREE, DO NOT USE OUR SERVICES.

1. Acceptance of Terms By accessing or using Donut Consulting's applications or services ("Services"), you agree to be bound by this EULA. This EULA constitutes a binding legal agreement between you and Donut Consulting ("Company," "we," or "us").

2. Eligibility 2.1 You MUST be at least 18 years old to use our Services. If you are under 18, STOP using our Services IMMEDIATELY.

2.2 You are SOLELY responsible for your use of the Services and any consequences thereof.

3. License Grant 3.1 Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal and non-commercial purposes.

3.2 You may not distribute, modify, or create derivative works based on the Services without our express written permission.

4. User Content 4.1 You retain ownership of your content. By submitting content to our Services, you grant us a WORLDWIDE, PERPETUAL, IRREVOCABLE, ROYALTY-FREE license to use, reproduce, modify, adapt, publish, translate, and distribute your content in any existing or future media.

4.2 You are SOLELY responsible for your content. We accept NO LIABILITY for any content submitted by users.

5. Intellectual Property 5.1 All intellectual property rights in the Services BELONG TO US. You have NO RIGHTS except those explicitly granted in this EULA.

5.2 Any unauthorized use of our intellectual property will result in IMMEDIATE termination of your access and potential LEGAL ACTION.

6. Disclaimer of Warranties 6.1 THE SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTIES OF ANY KIND. We EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED.

6.2 We make NO GUARANTEE of accuracy, completeness, or usefulness of any content obtained through our Services.

7. Limitation of Liability 7.1 TO THE FULLEST EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

7.2 OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

8. Indemnification You agree to DEFEND, INDEMNIFY, AND HOLD HARMLESS Donut Consulting and its officers, directors, employees, and agents from and against ANY and ALL claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the Services.

9. Governing Law and Jurisdiction This EULA shall be governed by the laws of [Insert Jurisdiction]. You IRREVOCABLY CONSENT to the exclusive jurisdiction of the courts in [Insert Location] for any dispute arising out of this EULA.

10. Changes to Terms We reserve the right to modify this EULA at ANY TIME without notice. Your continued use of the Services constitutes acceptance of the modified EULA.

11. Severability If any provision of this EULA is found to be unenforceable, that provision shall be severed from the EULA, and the remaining provisions shall be enforced to the fullest extent possible.

BY USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS EULA, UNDERSTAND IT, AND AGREE TO BE BOUND BY IT. IF YOU DO NOT AGREE TO ALL OF THE TERMS, YOU MUST IMMEDIATELY DISCONTINUE YOUR USE OF THE SERVICES.
